Terms of Service

These Terms of Service govern your access to and use of AIVROs, the AI Value Readiness Operating System provided by Skillement.ai. By creating an account or using the platform, you agree to these Terms.

Acceptance of Terms

By accessing the AIVROs platform you agree to be bound by these Terms and our Privacy Policy. If you are using the platform on behalf of an organization you represent that you have authority to bind that organization.

Accounts and Eligibility

You must be at least 18 years old and provide accurate registration information. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

License and Use

Subject to these Terms and timely payment of applicable fees, we grant you a limited, non exclusive, non transferable, revocable license to access and use AIVROs for your internal business purposes during your subscription term.

Acceptable Use

You agree not to:

• Reverse engineer, decompile, or attempt to derive proprietary algorithms.
• Probe, scan, or test the vulnerability of the platform without authorization.
• Use the platform to transmit malicious code or unlawful content.
• Resell, sublicense, or share access with non authorized users.
• Use automated means to scrape, harvest, or extract data beyond the published API limits.

Customer Content

You retain ownership of all data and content that you and your users submit. You grant us a limited license to host, process, and analyze that content solely to provide the service. We do not use customer content to train third party models.

Fees and Payment

Enterprise customers are billed under a separate order form. Free or trial accounts may be subject to feature limits and time bounded access. Fees are non refundable except where required by law.

Confidentiality

Each party will treat the other party's non public information as confidential and use it only as needed to perform under these Terms. Confidentiality obligations survive termination for three years.

Intellectual Property

AIVROs, including its assessments, scoring algorithms, designs, and software, is protected by intellectual property laws and remains the property of Skillement.ai. No rights are granted other than the license expressly stated in these Terms.

Disclaimers

The platform is provided on an “as is” and “as available” basis. AIVROs results are decision support tools, not professional advice. We disclaim implied warranties to the maximum extent permitted by law.

Limitation of Liability

To the maximum extent permitted by law, our aggregate liability under these Terms is limited to the amount paid by you in the twelve months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages.

Term and Termination

These Terms remain in effect for the duration of your subscription. Either party may terminate for material breach not cured within 30 days of written notice. Upon termination we will provide a 30 day export window for your data.

Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of laws principles. Disputes will be resolved in the courts of Toronto, Ontario, unless a separate order form specifies otherwise.

Changes to These Terms

We may revise these Terms periodically. Material changes will be communicated through the platform or by email. Continued use after changes take effect constitutes acceptance of the revised Terms.
